To provide a high quality, timely and cost effective legal advice and transaction management service to the Structured Finance team and GB Wholesale Portfolio Management team, focusing on all business products, namely:

  • Private securitizations of various assets classes, including without limitation, credit card, auto loan, mortgage loan and trade receivables portfolios
  • Financing of portfolio acquisitions (performing or non-performing assets)
  • Fund Financing (Subscription Line Facilities, GP/Management Facilities and NAV Facilities)
  • Credit finance, loan on loan transactions
  • To provide regulatory advice as it relates to Structured Finance

Role involves:

  • The ability to respond in a time critical fashion, both in and out of normal working hours and days, to requests for review of documents and transaction related matters;
  • Very close day to day liaison with business origination team and external counsel (as well as other parts of Legal) and direct interaction with our external clients;
  • Precise instruction and management of external lawyers and external legal costs;
  • The ability to be innovative and suggest solutions that work well commercially and within the relevant legal framework; and
  • The ability to work independently but also provide support to team colleagues within an experienced team.

Successful candidate will be responsible for

(i) leading the structuring, review and negotiation of finance documentation for cross border loan, note, conduit and securitization transactions (with involvement from pitch phase to completion, and thereafter), alongside origination teams,
(ii) review, internal escalation and resolution of legal, reputational and other internal issues,
(iii) managing relationships with the various internal and external stakeholders, Global Banking senior management, Issuer Services, other colleagues in Legal (both in London and in other teams globally), Compliance, Credit and Tax, and
(iv) keeping abreast of relevant regulatory and legal developments insofar as they affect Structured Finance transactions.
Requirements

Requirements

  • Qualified Lawyer
  • Must have securitisation experience
  • Broader knowledge of structured finance is essential
  • Preferred experience in traded finance, fund finance and real estate finance
  • Ability to prioritise
  • Communication and inter-personal skills
  • Lateral thinking/problem solving
