The role:
To support the work of the Legal & Company Secretarial Team
Key responsibilities:
- Records: maintaining the Group’s company records both offline and online using Diligent Entities (Blueprint Oneworld), the database that holds all corporate information about each Group entity. Assisting with the roll out of VML’s document management system (High Q) and uploading documents to file as necessary. Maintaining and updating our Group structure chart.
- Compliance: maintaining the statutory registers for a large number of Group entities, being responsible for proactive and timely submission of compliance filings in the UK.
- Regulatory compliance support: managing compliance of the Group’s FCA-regulated entity including preparing reports, questionnaires and other filings as required. Ensuring all filings are made by the relevant deadline on the FCA portal.
- Board Meeting Support: coordinating agendas, collating board papers and circulating board packs as needed for various Group boards. Potential minute taking opportunity for the right candidate.
- Due diligence and KYC: managing outgoing know-your-partner background research on third parties and incoming know-your-client requests on the Group, including from banks in connection with existing bank accounts or facilities. Assisting the finance and treasury team with requests of this nature and account opening, closing and ongoing administration.
- Legal team support: Assisting the legal team with reviewing, drafting and/or proof-reading commercial agreements and other legal documents to support intra-group and third party arrangements (such as non-disclosure agreements, releases, speaker engagements, services agreements and other governance and transaction related documentation). Provide support in relation to the Group’s M&A and investment activity (such as due diligence, disclosure, coordinating execution and producing ancillary documents).
- Other: providing document execution support as well as other ad hoc and project-based support as necessary across the Legal and Company Secretarial Team.
For this role we need you to be/have:

- Excellent communication, organisational and interpersonal skills which are necessary in order to establish and maintain effective working relationships with colleagues in other departments and throughout the key operating companies
- Ideally you would have experience in the company secretarial team or as a legal executive or paralegal within a professional services firm or corporate group. Database management experience would be very useful.
The following would be useful but are not essential:
- Currently studying for or already achieved GradCG level (formerly Grad.ICSA) or higher from the Corporate Governance Institute or other validated post graduate course; or
- Law degree or Post Graduate Diploma in Law and/or Legal Practice Course or Barrister Training Course qualification; or significant on-the-job experience and training as a legal secretary.
