The role of a Legal Secretary / Legal Administrator for EMEAI within Sherwin-Williams is to assist the Regional Lead Counsel EMEAI, and the Legal Department in general, in providing a full service in-house legal function to the Sherwin-Williams businesses in EMEAI.
The main duty of this role will be to provide assistance and administrative support to the Legal Team in the following areas: Corporate board maintenance, Dealing with Outside Counsel billing and admin, general commercial, corporate, litigation, real estate, environmental, intellectual property, employee benefits, employment, pensions, insolvency and legal entity rationalisation.
Key tasks include:
- Maintenance and management of EMEAI company board information in conjunction with Cleveland corporate secretarial and administrative function
- Manage the department’s Tracker system for outside counsel invoices throughout EMEAI. This would include creating matters, setting budgets, inputting quotations, billing admin, closing matters and liaising with law firms and internal contacts
- Administering contracts such as NDAs, Warranties, Equipment supply and Software standard terms
- Team admin, supporting training opportunities, holiday planner, organizing meetings.
- Liaising with European Financial Controllers and supporting administration of end of year statement
- Administration support for reorganisation, business closures and litigation.
- Dealing with ad hoc queries from the UK and Europe and conducting legal research where necessary.
The skills, qualifications and experience required for the role include:
- Experience of corporate board management across multiple jurisdictions, including appointment/removal of board members, drafting and execution of board and shareholder resolutions, Issuing powers of attorney, working with outside consultants and advisers desirable
- Experience in preparation and review of commercial contracts, including NDAs, supply and purchase contracts desirable
- Experience of managing admin systems similar to billing trackers, payment requisitions, etc.
- Strong IT and presentation skills.
- Strong communication skills
- Ability to work with key stakeholders in the company at all levels.
- Additional languages desirable but not essential
Please note this role can be based at Bolton or Sheffield (ideally) or another Sherwin-Williams UK could also be possible. With travel to an office location 2 or 3 times a week.
