What is Franklin Templeton’s Canadian Legal Department responsible for?
The Canadian legal department provides practical legal advice and service to the broader organization by reviewing and analyzing the laws and regulations of the jurisdictions in which Franklin Templeton Canada operates. Our in-house lawyers interpret these laws and regulations and advise the business on actions required to comply with legal and regulatory obligations. They also guide the business on appropriate courses of action to minimize risk from financial or reputational loss.
What is the Securities Law Clerk responsible for?
The purpose of the Securities Law Clerk is to provide legal support services for Franklin Templeton’s Canadian lawyers. Working under the direction of one or more lawyers, the Securities Law Clerk is expected to have sufficient expertise in securities law matters to enable them to be a resource for the legal team with their knowledge of required computer applications, administrative and organizational skills and thorough knowledge of current regulatory filing and registration processes. In addition, the Securities Law Clerk is expected to complete complex legal work, when necessary, when preparing and filing legal documents with the appropriate securities regulatory agencies, as well as general office and administrative tasks.
What are the ongoing responsibilities of a Securities Law Clerk?
Independently prioritize and complete all types of regulatory filings
Serve as project manager for existing and new fund offering documents
Prepare, review and produce fund offering documents and other continuous disclosure documents (e.g., prospectus, ETF facts, simplified prospectus, fund facts, offering memoranda etc.) for existing and new funds
Organize, maintain and use databases or other document management systems; implement procedures and revise as needed to keep current
Apply for, maintain and update Franklin Templeton’s Canadian firm and individual securities registrations
Gather and analyze routine information necessary for regulatory or other purposes; answer routine questions from within and outside Franklin Templeton and make simple inquiries of regulators and others
Work on special projects
Provide administrative support for legal team as necessary
What ideal qualifications, skills & experience would help someone to be successful?
4+ years of relevant corporate and/or securities experience in a law firm or in-house legal department
Experience using NRD and making SEDAR filings
Bachelor’s degree, college diploma or equivalent law clerk/paralegal experience
Excellent research, comprehension, analytical and decision-making skills
Ability to independently solve problems of moderate scope and complexity
Self-starter who can work with limited supervision and adept at multi-tasking in a fast-moving environment
Proficiency in business desktop applications
Strong administrative and organizational skills
