The Role:
The Boeing Company is seeking to hire a Corporate Governance Paralegal to join the Corporate Secretary’s Office (“CSO”) within the Enterprise Finance and Corporate Governance practice group of the Law and Global Compliance Department in London. This role will be part of a team responsible for carrying out governance and annual compliance to ensure good standing of Boeing’s global legal entities, in addition to implementing strategic and business decisions to advance Boeing’s vision.
The ideal candidate will:
be required to collaborate and work closely with stakeholders inside and outside of Boeing, including outside counsel and advisors, and Boeing business and finance leaders around the globe.
be highly detail-oriented with exceptional organizational skills; able to prioritize activities and perform multiple tasks while maintaining quality, speed, and accuracy; and have a demonstrated ability to work under pressure and multitask in a fast-paced environment.
work well with others, clearly communicating requirements, expectations and deadlines, asking questions to obtain and share relevant information.
have excellent judgment and the ability to work independently as well as in a team environment, including coordination with colleagues and clients in multiple time zones.
The role would potentially suit an individual who’s currently operating as a Senior Assistant Company Secretary or similar.
Position Responsibilities:
Governance and compliance of Boeing domestic and international legal entities including drafting annual and special meetings, quarterly/annual compliance filings, powers of attorney and event driven changes such as board member resignations and elections, dividends and capital contributions, and changes to an entity’s business purpose, registered address or governing documents.
Collaborate with internal and external teams to incorporate, merge and dissolve Boeing legal entities.
Assist with other matters related to corporate governance, securities, sustainability and mergers and acquisitions, as needed.
Strong organizational, communication and teamwork skills required.
Required Qualifications:
The candidate should be proficient in Microsoft Word, Excel, and PowerPoint.
The candidate should be an individual with board support experience and knowledge of Companies ACT.
Minimum education requirements include an undergraduate degree; or a paralegal certificate from an accredited program and commensurate paralegal experience, or undergraduate legal degree preferred.
Applicable and appropriate educational/certification credentials from an accredited institution and/or equivalent experience is required. Chartered Governance Institute Qualification is desirable but not essential.
