Job description
Operational Solutions Ltd (OSL) provides situational intelligence to create safer spaces on the ground and in the air. We provide innovative solutions based on disruptive technology such as data fusion and artificial intelligence to enhance the security, safety, and efficiency of our clients’ operations. With applications in drone detection and management, perimeter security, autonomous drone operations, and smart spaces, we aim to enable rapid, responsive approaches that safeguard the public and property. Founded in 2010, OSL has been private equity-backed since December 2021.
The role
Reporting to the Director Corporate and Commercial, and working closely with the Senior Procurement and Commercial Manager, the Contracts and Compliance Specialist is a dual role which will support the business by providing legal advice and support on contracts-related matters and by evolving the company's risk and compliance management. This is a new role, created due to company growth, and would suit a commercially astute contracts specialist with a desire to directly influence a fast-growing SME in the aerospace, security, and defence sectors.
This is a hybrid working role based in our offices in Reading RG7 with remote working as agreed. The ability to achieve and maintain UK SC clearance is desirable for this role.
Responsibilities
· Responsible for reviewing contracts (e.g. customer and supplier-side supply contracts and commercial frameworks), drafting non-standard contractual terms and templates, and advising on legal issues.
· Work collaboratively to establish a repeatable and scalable process, leveraging technology where appropriate, to align contracts and compliance to changing business strategy and to implement appropriate standards for an SME working with large private and public organisations.
· Develop and maintain accurate, consistent, and compliant document retention for contracts and compliance.
· Serve as a first point of contact to provide guidance to business colleagues.
· Regularly analyse and/or audit company compliance to identify gaps, inconsistencies, inefficiencies, and non-compliance, and make recommendations to solve those issues.
· Provide support on a variety of ad hoc operational projects and tasks and the opportunity to work on broader business initiatives including mergers and acquisitions and employment when there is capacity.
Key qualifications and experience
· A law degree (LLB or LPC) or qualification as a legal executive or similar with demonstrable relevant experience. Qualified solicitor ideal but not required.
· Demonstrable experience reviewing and drafting a variety of customer- and supplier-facing commercial contracts such as NDAs, master services agreements, order forms, statements of work, change orders, distribution agreements, and frameworks in private and public contexts.
· Experience or an interest in gaining experience in internal compliance e.g. data protection, anti-corruption, supplier due diligence, as well as compliance with customer contracts.
· Outstanding communication skills, both written and verbal, and strong attention to detail.
· Ability to work in a fast-paced and ever-changing environment.
· Experience creating and managing process documentation and policies is desirable but not essential.
· Understanding of and experience with intellectual property desirable but not essential.
· Understanding of NEC and MOD contracts (including DEFCONs) an advantage.
Salary and benefits
· Salary up to £55,000 gross per annum commensurate with experience.
· Discretionary annual bonus.
· Hybrid working and flexible schedules.
· 25 days’ annual leave plus UK bank holidays.
· 4% employer pension contribution.
