We currently have an opportunity for a Company Secretarial Assistant to join our team based in Bristol or Exeter. Joining us on a full-time permanent basis, you will receive a competitive salary of £40,000 - £50,000 per annum plus excellent benefits.
About the role
As our Company Secretarial Assistant you will deliver a professional and efficient company secretarial service reporting to the Deputy Company Secretary, who is responsible for all company secretarial and governance matters relating to a publicly listed company.
The role holder will be pro-active, able to work as part of small team, have an understanding of UK Listing Rules, Market Abuse Regulation, Companies Act 2006 and UK Corporate Governance Code. Have excellent written and verbal communications and attention to detail and be willing to learn.
What you'll be doing:
Board and Management Support
- To liaise with Board and committee members and other relevant parties in respect of meeting arrangements and compliance with formalities.
- Provide assistance in organising Board and Committee meetings and compiling, chasing papers and circulating Board, Board Committee and Group Executive packs using Diligent.
- To convene, attend and take minutes at Board and committee meetings, recording discussions and decisions, drafting minutes, liaising with teams (all levels of staff) for comments prior to external circulation.

To manage the timely preparation of subsidiary Board minutes.
Corporate
- Assist with the release of information and announcements to the London Stock Exchange
- Support the delivery of the year end reporting process
- Assist with the half-year review of Related Party Transactions, preparing directors individual lists, circulating list, chasing replies and recording updates.
Statutory and Administrative
- Complete all relevant filings, i.e., Companies House forms, including confirmation statements and maintain comprehensive, accurate and legally compliant company records, books and registers through Blueprint/Diligent Entities database and comply with statutory and regulatory filing obligations and other key governance processes (e.g., creating and updating insider dealing lists)
- Administration of employee share schemes and supporting management with the Company’s external relationship with the registrar and share plan administrator
- Administer and keep up to date the corporate calendar and working with management to plan ahead, considering new legalisation, regulation, guidance and activity of the CoSec team.
- Assist the Deputy Company Secretary on ad-hoc projects as necessary
What we are looking for:
- Previous experience in a company secretarial office gained ideally within a regulated / listed business
- ICSA/CGI: UK&I qualified or studying towards qualification
- Knowledge of relevant legal and regulatory requirements, particularly the UK Companies Act 2006
- Strong transcription skills
- Confident communication skills
