About the role:
Responsibilities:
Assist the Company Secretary in managing all aspects of corporate governance, ensuring compliance with relevant laws in all jurisdictions, within the UK and internationally.
Coordinate and organise board meetings, including scheduling, preparing minutes, collating, and distributing board packs, first drafts of agendas for all and maintaining action lists.
Attend main board meetings with the Company Secretary and all committee meetings and preparation for the meetings in person
Maintain all corporate records such as statutory registers, annual returns and any other such tasks that may be required
Collaborate with internal stakeholders to triage and facilitate requests
Communicating with the board members as required for the above tasks
Maintaining confidentiality at all times
Attributes:
Either ICSA qualified or soon to be qualified
Proven strong experience in a similar or same role. Retail sector experience is not necessary but is desirable
Experience of using Dilgent is a must
Must be able to confidently engage with all stakeholders, including senior executives and non-executives and directors.
Able to be discreet at all times
Strong organisational skills and able to look after all companies within a Group.
Experience in attending top company or main board meetings for a large Group and ability to accurately, and promptly records minutes based on the discussions at those meetings, including recording any matters arising and managing that action list for the board and business
Ability to be a team player and be involved in the overall legal team, but able to act independently and take the initiative with own workload, focusing on solving problems effectively and progressing work swiftly
Exceptional written and verbal communication skills
High attention to detail is a must
High level of integrity and professionalism, with a commitment to maintaining confidentiality.
Strong analytical and problem-solving abilities
