The Tax Advisory team at FTI offer a forward-looking perspective to the fast-paced European and global Tax and Transactions market. Whether representing buyers or sellers, we offer a comprehensive financial due diligence service leading to value-related advice and hands-on support across a full spectrum of industries.
About the Role
We are looking for Senior Director level candidates with significant post-Qualification experience to join our London based team as a Senior Director. This is a unique opportunity to work on Transaction Advisory / Financial Due DIligence projects, however, as part of the wider Tax Advisory team at FTI.
Through formal and informal on the job learning, you will develop the skill set to become a leading advisor providing the best industry advice to our clients
Key Responsibilities
- Analysis and modelling of financial performance (past and future) of an acquisition target
- Overall lead responsibility for delivery of mid-size complex projects (direct with Partner) or responsibility for standalone divisions / sections of FDD on larger projects (this will include buy or sell side, refinancing, financial restructuring and equity raising transactions)
- Direct communication with the clients on key issues relating to the FDD report
- Direct communication and liaisons with M&A bankers and clients on appropriate presentation and business valuation of target opportunities, in line with diligence findings
- Preparation of information memorandum and investment documents for Private Equity clients
- Supervision and mentoring of Managers, Consultants and Analysts, taking full responsibility for review of their analysis / sections and being accountable for their output
- Identification of key value drivers, SPA price adjustments, and deal breakers
- Business development including identification and valuation of target opportunities and preparation of pitch documents
- Effective communication with senior members of the team and clients
- Proactive development of internal and external relationships
Education and Qualifications
- 2:1 degree (or equivalent) in a numeric or business subject from a top tier university
- ACA (or equivalent)
Skills and Competencies
- Ability to work in a meritocratic structure which recognizes and rewards individual contribution
- Excellent report writing and analytical skills
- In-depth knowledge of Excel and manipulation/analysis of diverse data sets including ability to build financial models
- Strong commercial awareness and understanding of market drivers and competitive landscape
- Strong financial acumen and ability to identify financial red flags through analyses of complex financial data
- Self-confident and ability to deal directly with investment bankers, lenders and PE investors
- Self-starter and inquisitive
- Team player
- Strong relationship and team management skills
- Strong communication skills both written and spoken
- Ability to manage time and prioritise tasks effectively
Experience
- Previous significant transaction services consulting experience working within one of the 'Big 4'
- Relevant transaction services experience, consulting either with private equity or venture funds with deals in excess of $250m
- Transaction experience to include due diligence, market entry, financial restructuring, feasibility studies and business plan validation
- Experience in identification of key deal financial and commercial issues
- Demonstrable experience in leading the delivery of large complex, multi geography transactions, presentation of findings to senior stakeholders including PE investors and lenders and assisting with transaction negotiations with lawyers and investment bankers across EMEA and globally
- Experience in leading, managing and mentoring teams
- Experience in drafting thought leadership publications impacting transaction services
- Experience specifically in retail, PE and industrials
