Job title: Corporate Development Counsel
Job description:
The Corporate Development Counsel is responsible for managing and executing, the setup of strategic partnerships, joint ventures, investments, divestitures, mergers, working with the Corporate Legal Department, New Energies Legal, and the Corporate Development Department. The Corporate Development Counsel will primarily perform said tasks for TechnipFMC’s New Energies business but will also execute work on a company-wide basis as required.
RESPONSIBILITIES:
This position is responsible for
- Counseling and advising on all aspects of transactions and partnerships;
- Conducting due diligence;
- Identifying business and legal risks/issues and proposing practical solutions;
- Negotiating, drafting and reviewing transaction documents and partnership agreements;
- Coordinating legal and functional experts in due diligence and negotiation efforts;
- Managing outside counsel;
- Interacting with local and national cross-functional and corporate development teams;
- Support treasury team in financing activities
You are meant for this job if:
REQUIREMENTS:
- JD or LLB degree with excellent academic credentials.
- Licensed to practice law in good standing.
- Considerable transactional experience, including significant M&A and financing work.
- Working knowledge of M&A market trends.
- Experience writing diligence memorandums, creating deal summaries, and explaining complex transactional issues and terms in plain English.
- Demonstrated project management skills.
- Demonstrated ability to handle a fast paced, demanding work environment.
