Job Title: Non-Executive Board Adviser

Time Commitment: Initially 1 day every quarter for the first 6 months, followed by 3-4 hours per month thereafter

Position 2 - Non-Executive Director with VC background.

Role Overview

Joining Grafterr as a Non-Executive Board Adviser means stepping into a pivotal role where you provide independent oversight, strategic guidance, and governance expertise to our board of directors. Your contribution will shape our long-term strategy, ensure robust governance, and safeguard the interests of shareholders and stakeholders.

Key Responsibilities

  • Full Engagement: Gain a profound understanding of our business operations and structure to facilitate growth. Offer an impartial perspective during board discussions and decisions.
  • Strategic Insight: Collaborate with fellow board members to review, challenge, and refine the company's strategic direction, ensuring it aligns with our mission and values.
  • Governance and Compliance: Advocate for improved planning, policymaking and compliance with relevant laws and regulations.
  • Risk Management: Oversee our risk profile, ensuring robust risk management processes are in place to identify, evaluate, and mitigate risks effectively.
  • Financial Oversight: Review and approve financial reports, budgets, and major financial decisions, ensuring financial statements' accuracy and the company's fiscal well-being.
  • Executive Oversight: Evaluate executive performance, contribute to succession planning, and align executive compensation with the company's goals and shareholder interests.
  • Stakeholder Engagement: Act as a bridge between the board and various stakeholders, nurturing positive relationships while representing the interests of shareholders and the broader community.
  • Conflict Resolution: Mediate conflicts, striving for constructive solutions that serve the company’s and stakeholders’ best interests.
  • Ethical Leadership: Champion ethical behaviour, integrity, and responsible business practices throughout our organisation.
  • Continuous Learning: Stay informed about industry trends, emerging risks, and best governance practices.

Requirements

  • Proven Expertise: Previous experience as a NED or in a similar governance role within public or private companies, with strong understanding of corporate governance principles, regulatory requirements, and industry best practices.
  • Passion for Growth and Success: Your knowledge and assets, but your visionary guidance will propel us to new heights.
  • Outside Perspective: With exceptional strategic thinking, analytical abilities, and decision-making skills, you will see the bigger picture and identify new growth strategies, while offering constructive criticism.
