Woo is a business born out of ITV’s Studio 55 Venture in-conjunction with Founders Intelligence. The business was founded and led by award winning CMO, Stephen Mai (ex Boiler Room, VICE, LADbible, MTV, ASOS) and is launched with a founding team from some of the world's most exciting youth media and ecommerce brands.


This role entails…


Woo (by ITV) is looking for a passionate corporate/commercial lawyer to join our team in-house and lead on the day to day running of the function. You will dual report to the Woo management team and to the ITV core legal team.


You will be the go-to person for all things legal but with clear support from and escalation lines into ITV legal. You will work closely with the business to provide legal & strategic support across a wide variety of matters (incl. marketing, e-commerce, wholesale, logistics, outsourcing, internet/new media, data protection, IT and consumer law.)


You will help set the Woo business and legal processes up for scale creating frameworks and guidance to ensure compliance and governance in line with the wider ITV business functions.


This is an exciting opportunity to be the lead legal contact, in a role which is highly integrated within the business. You will help our commercial, creative and operational teams solve complex problems, launch new projects and deliver against strategic business objectives.


Key responsibilities:


  • Liaising with teams across the business and the wider ITV team, implementing legal solutions to a range of complex problems
  • Develop and lead the continuous improvement of Woo’s standard form agreements and legal processes.
  • Assisting the business SMEs with the drafting of tenders and negotiation of contracts with suppliers of other goods and services.
  • Advising on a wide range of matters including IP, data privacy, IT, commercial, ecommerce, corporate, consumer and employment law, within the framework of ITV’s standard positions and escalation procedures
  • Keeping abreast of industry regulation, providing legal, commercial and strategic advice on governance and law change developments across social, media, ecommerce, GDPR and ePrivacy
  • Drafting, reviewing and negotiating third party commercial contracts.
  • Cooperation with external law firms and specialists.
  • Managing the legal budget.
  • Negotiating agreements that comply with company policies and ITV risk tolerance.
  • Develop and implement education and training programs on topics where Woo employees should be aware of the legal background or context.
  • Managing capture and storage of contracts.


To be considered for this opportunity you will need to demonstrate the following skills:

Minimum role criteria:


  • A qualified lawyer with at least 3 years post qualification experience.
  • Suitable experience from an in-house or private practice environment, ideally:
    • experience of working in a fast moving, diverse and dynamic environment like a start up/ scale up.
    • experience of working in the e-commerce/ marketplace industry.

  • You will be a problem solver - using your expertise, commercial acumen & common sense to find solutions to complex problems and ways forward for new projects.
  • You will be able to summarise and effectively communicate complex legal concepts to stakeholders within the business at all levels; be flexible and intuitive in all communications.
  • You will have experience of drafting and negotiating a wide range of commercial agreements with minimal supervision.
  • You will be an experienced and effective negotiator with a track record of brokering key deals in a timely and cost effective manner.
  • You will have experience of working in a deadline driven environment and managing input from multiple stakeholders.
