The Role & Responsibilities

  • To proactively support the Bank’s business initiatives and projects by providing high quality legal support and advice
  • In particular, focusing on supporting the Bank’s central Corporate Development, Treasury and Finance teams with strategic corporate projects including M&A activity such as loan portfolio and business acquisitions and disposals, corporate restructurings, capital raisings and debt capital markets transactions
  • To also assist with other general commercial legal support to the Bank’s central functions and business divisions as and when needed, particularly on complex, strategic, unusual, high value, or high-risk matters
  • Provide legal advice and support to the Bank’s central functions (primarily the Corporate Development, Treasury and Finance teams) in respect of a wide range of transactions which the Bank may undertake from time to time. To include business and loan portfolio acquisitions and disposals, forward flows, capital raisings and debt capital market transactions. Such advice to include input on structuring, heads of terms, engagement letters, non-disclosure agreements, due diligence and disclosure processes, transaction documentation and post completion matters.
  • Develop strong working relationships (and manage those relationships) with internal stakeholders in the Bank and, where necessary, supporting engagement with the Bank’s Board and shareholders, including inputting into Board and Committee papers
  • Engage and liaise with external counsel as necessary to deliver appropriate and timely legal advice on transactions
  • Work collaboratively with other teams within the legal function to ensure effective and fully aligned end-to-end legal support to the wider business in a transactional context
  • Support the Bank’s wider Legal function in other areas as and when needed (e.g., commercial contracts, strategy and approach to issues which may involve litigation/dispute resolution, general corporate and commercial support).
  • Develop and maintain good legal risk governance structures and mechanisms that reflect best practice and meet the needs of the business within the Bank’s regulatory environment. In particular (a) provide support and guidance to ensure appropriate governance procedures are adhered to in a transactional context in collaboration with Secretariat and deal teams; and (b) helping deal teams to engage with other appropriate internal stakeholders where issues arise on transactions which require input from the Bank’s Risk/Compliance teams
  • To develop an awareness of and competency in the wider legal and regulatory framework in which the Bank operates and to support the Group Legal function
  • To support the Bank’s Company Secretariat team as necessary when Legal support required (e.g., Group restructuring)

The Person

  • Qualified solicitor (England and Wales). Qualified lawyers in other legal jurisdictions (e.g., Australia, New Zealand) who can demonstrate sufficient UK law experience will be considered on a case-by-case basis
  • The candidate will have received wide ranging training and experience within a medium to large city law firm (ideally in a corporate or banking transactional team) and be able to demonstrate a solid knowledge of corporate law
  • Experience advising on a broad range of corporate transactions (from either a corporate or banking angle) from end to end (including managing and co-ordinating diligence processes and drafting, advising on and negotiating the relevant transaction and ancillary documentation)
  • Experience in the financial services/banking sector is a plus
  • Experience in being the direct point of contact for your client(s)/stakeholders and providing pragmatic, solutions-based commercial advice and decision making will be a benefit
  • In-house experience (permanent or secondment) would be an added benefit
  • Any experience working with or in the financial services/banking sector will be an advantage
  • Excellent skills in synthesising and summarising complex information and communicating key points to the wider team/stakeholders
