Job description
Location: Perivale, London (hybrid working - office based 2 days a week)
Position Summary
Role and Responsibilities
- Company Secretarial responsibilities in the UK including drafting Companies House documents related to liquation and statutory filing; maintaining company books, supervising board and committee meetings, publishing meeting packs, taking minutes, drafting resolutions and advising management on matters of governance.
- Further company secretarial responsibilities within the EMA and APAC region with coordinating statutory filing with local counsel.
- Responsibility of organising the execution of important legal agreements addressed to the company board/relevant signatories (using DocuSign & Adobe Acrobat), corresponding with third parties/external counsel to finalise agreements. Maintaining and updating the legal drive with executed agreements/business know how.
- Responsibility for legal post and flagging any urgent items.
- Liaising with external counsel in APAC and EMEA for monthly legal costs. Processing legal invoices through SAP and maintaining financial trackers.
- Providing template agreements from the legal drive to the relevant business unit on request. Reviewing legal documents for formatting/reference errors and resolving. Knowledge of how to use Microsoft/Excel/Microsoft Teams is essential.
- Organising ICO certificates and annual renewals.
- Responsible for contract management and monitoring of key contract and other deadlines.
- Supporting the day-to-day legal requirements of the business including, compliance, risk, ops, management, and other functions.
Key Requirements
- Bachelor’s degree in a relevant field of study.
- Experience of dealing with corporate matters.
- Detail-oriented with strong organisational skills.
- Able to both take direction and show initiative. Be proactive and the ability to work independently.
- Excellent communication, analytical and critical thinking skills.
- Approachable and work collaboratively with Legal Department and business team members.
- Unquestionable ethics and integrity.
- Ability to multi-task and meet deadlines in fast-paced, private equity backed environment.
- Experience of using Microsoft Teams, Excel, formatting word documents and using DocuSign.
- Knowledge of compliance and data protection is a bonus.
