About Credit Union Central of Manitoba
Credit Union Central of Manitoba (CUCM) is the trade association for Manitoba’s credit unions. CUCM provides services in areas of investment management; derivatives to manage interest rate and currency risks; product and service research/development; consulting; representation; and advocacy at the business, government, and regulatory levels.
The Position:
The Governance & Legal Specialist:
- is responsible for assuring CUCM stays in compliance with both regulatory & statutory requirements
- conducts research on various governance and legal issues of relevance to the credit union system at the provincial and federal level, & provides comparative analyses where required
- is responsible for reviewing, drafting, and analyzing CUCM contractual engagements, including those relating to CUCM strategic investments. This includes advising on industry best practices vis governance and management regarding CUCM’s participation in various “downstream” entities
- is responsible for managing a broad range of support activities related to the Board of Directors and its Committees, including the preparation and coordination of briefing materials, agendas, minutes, workplans and other documents such as policies, procedures, and terms of reference while also executing all of the decisions, resolutions and changes put forth by CUCM’s Board of Directors
- ensures business needs are met through the coordination of legal services and serves as an internal legal resource to the organization.
- provides advice and opinions concerning a variety of legal issues and other matters related to the business of Credit Union Central and 317 Donald Inc.
- drafts and/or review legal agreements, resolutions, articles, by-laws, and other documents on behalf of Credit Union Central, 317 Donald Inc., and the Manitoba Credit Union system to ensure their respective interests are appropriately represented and protected.
- develops, update and maintain legal documents, templates and precedents for use by Credit Union Central and 317 Donald Inc. and ensure that these documents are in accordance with legal, regulatory and business requirements of Credit Union Central, and 317 Donald Inc.
The Person:
- A post-secondary degree, preferably a law degree, as well as membership with the Law Society of Manitoba
- 2-4 years of related experience
- Solid knowledge and understanding of corporate governance matters, as well as the roles and responsibilities of a Board of Directors and Board culture
- Excellent organizational and planning skills, including the ability to coordinate large volumes of materials and work to concurrent and/or conflicting deadlines
- Demonstrated ability to communicate effectively with all levels – directors, managers, external organizations.
- Strong analytical, problem-solving, and decision-making skills
- High level of emotional intelligence
