Intermediate Law Clerk - Corporate
Ingenuity is a boutique corporate law practice located in Toronto’s downtown core. We are looking for a Corporate Law Clerk who will contribute to our firm culture and enhance the service we provide to our clients. The successful candidate will possess excellent organizational talent along with strong time management skills.
Responsibilities:
§ Review, analyze and summarize basic/complex minute books and corporate records and recommend a course of action to rectify any deficiencies and draft necessary documentation;
§ Prepare and organize corporate documents, including issuing shares; changes to corporate records such as registered office and changes of directors, officers and shareholders and supporting and ancillary documents;
§ Draft share capital provisions, and prepare and file Articles of Incorporation, Articles of Amendment, Articles of Amalgamation, etc. for corporations existing under OBCA, CBCA, Canada NFP Act, and the Corporations Act (Ontario);
§ Prepare and file articles and corporate documentation relating to both simple and complex incorporations, organizations, amendments, continuances to/from other jurisdictions, short and long form amalgamations, dissolutions under the OBCA, CBCA, Canada NFP Act, and the Corporations Act (Ontario)
Professional Requirements:
§ Minimum of two (2) years’ experience gained as a Corporate Law Clerk
§ Completion of the Institute of Law Clerks of Ontario Certification or college program
Skills:
§ Thorough knowledge, understanding and ability to apply working knowledge of the relevant corporate statutes;
§ Strong computer skills, including, but not limited to, Microsoft Office 365 (including Word, Excel, Outlook), OnCorp, Fast Company, PC Law and Adobe; knowledge of Teraview considered an asset;
§ Highly organized and able to prioritize work
§ Excellent attention to detail
§ A strong team player; demonstration of a positive work ethic
§ Ability to multi-task and handle a fast-paced work environment
