Position Summary
You will form part of a five-person team responsible for fund legal matters across a wide range of strategies on a global basis. Taking primary responsibility for the structuring, negotiation and closing of investors into several pooled funds, co-investment funds, segregated mandates, and similar vehicles, and will work with others in the team on other funds.
You will also be involved in associated matters such as leverage and bridge financing and carried interest arrangements, involving a deep level of interaction across a wide range of stakeholders across ICG.
Primary Responsibilities
The responsibilities of the role include, but are not limited to:
- Taking alead role on fund structuring, formation and establishment, working in conjunction with all relevant internal stakeholders and external counsel.
- Managing counsel and taking responsibility for the legal side of fundraising including the delivery of LPAs, template subscription agreements, management agreements and other contractual arrangements ahead of a fund launch and then leading negotiations with potential investors over side letters and closing investors throughout fundraise periods.
- Contributing to new product approval processes and drafting, review and approval of PPMs.
- Acting as an internal point of contact for Marketing & Client Relations staff and portfolio managers.
- Acting as a general point of contact for inbound questions.
- Work closely with the Fund Administration team (including to ensure overlapping matters are adequately captured).
- Become a trusted contact and advisor for internal teams.
- Assist with the planning or provision of training to staff.
Key Requirements/ Qualifications
You will have demonstrable experience of:
- Qualified funds formation lawyer.
- Extensive post-qualification experience with a major law firm in a funds team.
- Experience of real estate and private equity/debt funds formed in Luxembourg and Delaware is highly preferable.
- Experience in working within an international team would be a plus.
- Prior experience of in-house work would be an advantage.
