The Deputy CoSec (ad closing 4th June) is responsible for delivering excellent corporate governance support to Heathrow’s main Board, executive and other boards, and committees. They will need to work very closely with executive and non-executive directors regarding corporate and company secretarial matters and governance requirements.

You will need to be confident advising senior executives at the highest level, including the CEO, CFO and other members of the Executive Committee, as well as the Chair of the Board and other Independent Non-Executive Directors. This is a business-critical role as it is essential for Heathrow’s main Board and its committees to operate in accordance with good corporate governance and compliance so that strategic decisions about the business can be made in accordance with legal requirements and in the right environment, with the support of appropriate briefing materials.

As a key trusted advisor to the Group General Counsel and working as a vital part of the Secretariat team, you will ensure good corporate governance standards are met and that Heathrow’s group subsidiary companies are compliant.


  • Supporting the Group GC and acting as a pillar of the Secretariat team in respect of arrangements for monthly Board meetings and other formal Committee meetings, Executive Committee meetings, away days and joint Board and Executive strategy days.
  • Managing Board and Committee effectiveness reviews and other governance arrangements.
  • Communicating with and advising senior executives at the highest level.
  • Providing critical support to the Group GC and working as part of the Secretariat team in ensuring proper processes are followed in connection with the appointment of new directors.
  • Operating and maintaining the Corporate Governance Framework and Governance Champions Network.
  • Horizon-scanning and briefing the GC, Board, Executive Committee, and wider business on changes in corporate law and governance best practice.
  • Promoting and ensuring corporate governance compliance for the Board and its committees.

  • Good academic background with relevant degree (or equivalent qualification)
  • Company Secretary/Chartered Governance qualification or in the process of training
  • At least 4-5 years’ experience working in the Company Secretarial field
  • Good knowledge of the Companies Act, corporate governance, and other relevant legislation
  • Strong technical knowledge and ability to interpret, communicate and apply corporate law
  • Excellent administrative skills with existing experience or a keen interest to develop good technical knowledge relating to corporate and company secretariat issues
  • Good interpersonal skill in order to deal with senior executives, directors, company advisors and other managers

Working Location

Our agile approach offers the opportunity to combine home working with meetings, events and training at the airport. All roles involve some on-site working each week, so you’ll need to be based in the UK and within a commutable distance to Heathrow.
