The Role
Operating in countries all over the world is a key component of Candex's success and a critical part of our growth plan. We are looking for a commercially-minded, proactive, organized, corporate paralegal to help manage corporate governance in our existing markets and drive new country expansion. As a Corporate Paralegal, you will report to our General Counsel and oversee corporate governance matters for foreign subsidiaries, work with local representatives and our finance team to establish and manage new corporate entities (including by gathering and tracking key requirements and pushing the team to meet key milestones), and work cross-functionally on special country-specific projects. You also may be asked to support our legal team in day-to-day legal operations matters.
This role requires someone with excellent organizational and interpersonal skills, tech savvy, and who is able to balance competing demands and independently manage projects in a fast-paced environment with overlapping deadlines. Responsiveness to internal requests and active monitoring of communications is critical.
This position is fully remote, though we are open to exploring office space if desired.
Key Responsibilities
- Manage subsidiary corporate governance compliance
- Work with external advisors to draft and maintain board minutes, shareholder meeting minutes, bylaws, policies, charters, articles of incorporation and other governance-related documents.
- Conduct research and analyze legal and regulatory requirements related to corporate governance and compliance
- Administer and update, as needed, company procedures for evaluating new markets and support expansion into new markets.
- Organize and maintain corporate records
- Support legal team in special projects and initiatives
- Support legal team with document management and other administrative tasks
- Draft and review simple contracts, including non-disclosure agreements, as needed
- Actively seek and implement new scalable processes to support the legal team
Requirements
- Minimum 3-5 years UK Paralegal experience is required. Legally qualified candidates are also welcomed
- Highly organized and process minded, with attention to detail
- Ability work independently and effectively manage projects by tracking against deadlines and multi-tasking in a fast-paced work environment
- Strong written and verbal communication skills and ability to present complex ideas in easy-to-understand language
- Proactive and self-motivated
- Great interpersonal skills and the ability to build relationships across departments and regions at all levels.
- Proficiency with microsoft office, google enterprise, and project management tools
- Desire and ability to develop a working knowledge of our Platform and business model.
- Experience working internationally is a strong plus
