Job description
Ensure that the statutory maintenance and filings requirements of the group’s global entities (including statutory registers) are met.
Ensure the entity management system is kept up to date as appropriate to ensure timely and accurate information about all group companies is recorded.
Assist with the drafting, implementation, training, audit and review of company secretarial policies and procedures ensuring compliance with the relevant legislation
Process legal documents to be notarised, legalised and apostilled.
Assist with ultimate beneficial ownership disclosure and reporting for TechnipFMC entities.
Respond to KYC requests and providing supporting data
Complete approvals and draft powers of attorney
Support legal, compliance, finance and tax teams with transactions (acquisitions, financings, restructuring) from a corporate administration perspective.
Work with relevant internal and external advisors to set up and support new corporate entities in the UK and worldwide as well as managing new compliance requirements.
Assist with the AGM
Assist with Directors’ and shareholder meetings and drafting board minutes and shareholder resolutions.
Ad-hoc long-term projects, assisting and supporting the EMO team on corporate transactions and other projects as and when required.
Requirements:
BA/BS or equivalent
Experience working as a paralegal; law firm and in-house experience preferred.
Public company experience required.
Experience with corporate administration of dividends/distributions (cash or in specie), reduction of share capital, capitalisations, share transfers, etc;
Demonstrates a high level of maturity, independent judgement, adaptability, and professionalism, and ability to adapt to change.
Ability to maintain a positive “can-do” attitude and strong sense of ownership over duties and responsibilities; proactively assumes responsibility and consistently delivers quality work on time while managing multiple priorities.
Ability to effectively interface with various internal and external parties, including senior management and Board members.
Superior attention to detail and organization skills.
Excellent written and verbal communication skills.
Ability to analyze, interpret, and summarize complex matters succinctly and accurately.
Ability to maintain confidential information.
Advanced proficiency in MS Word, Excel, PowerPoint, Outlook and Adobe Acrobat.
Ability to travel internationally (1-2 times per year)
Preferred:
Paralegal certificate from an accredited paralegal program preferred.
Experience working with Serengeti Legal Tracker
WORK ENVIRONMENT:
Spends 90% of time in an office environment. Up to 10% travel required.
Physical demands:
80-90% of time spent on a computer. 10% - 20% of time spent communicating with personnel. Fast-paced environment with multiple priorities. International travel up to two times per year.
