The Company Secretarial team plays a leading role in ensuring that BT Group and the Board complies with good corporate governance practice and associated laws and regulations. We support great decision-making across the business, make the complex simple and help drive BT’s success.
Within this role you will be key to supporting corporate governance compliance for our Board and Committees. You will be an integral part of BT and is an excellent opportunity for someone with strong corporate governance experience.
What you’ll be doing
- Supporting the Deputy Company Secretary or Senior Managers, Corporate Governance with delivery of areas for BT Group plc Board, Committees and Directors, including inductions, evaluations and appointments as necessary
- Responsibility for certain BT Group plc Board, management Committees and subsidiary companies, which includes creating agendas for agreement and Chair/ Secretary’s briefs as appropriate, minute taking as necessary, tracking actions and decisions, review of the Committee terms of reference (as required), and preparation and distribution of papers through the online electronic portal
- Provide guidance and support to authors of Board and committee papers and reviewing of papers to ensure that they are fit for purpose and are compliant with the corporate governance framework
- Assist with preparing and maintaining a rolling calendar for the respective Board Committee(s) supported
- Assist on BT Group share plans (all-employee and executive) including drafting communications, liaising with external share plan administration support and dealing with participant queries
- As necessary provide support on liaising with BT Group’s Share Registrar from a share registration side, including on any retail shareholder issues, and assisting the Senior Managers, Corporate Governance
- Assist with dividend distributions to shareholders
- Drafting and inputting into Annual Report and related documents as required
- Drafting and inputting into the ancillary documents for the AGM including the Notice of meeting
- Maintaining the Co Sec internal website, ensuring any updates are made in a timely manner, understanding the consequences of changes and impacts elsewhere and seeking sign-offs and support for external website changes (Co Sec pages) as necessary
- Advise on compliance with corporate governance regulations and legislation
- Advise on aspects of MAR or related regulation/legislation compliance
- Assisting with supporting and advising on compliance with legislation and regulation for subsidiary companies and supporting the Senior Manager, Subsidiary Governance, as necessary
- Draft and/or release ad hoc RNS announcements and related processes
- Monitor the related party transactions mailbox
- Support with ad hoc corporate and departmental projects

- Highly organised, able to prioritise and plan
- Work under pressure and consistently to a high standard
- Good analytical and problem-solving skills
- Use initiative and is pro-active and can work independently
- Excellent communications skills, both written and verbal
- Persuasive, discreet and good stakeholder engagement skills with a wide range of people at all levels, including senior executives and Board members
- Excellent attention to detail and reliable to produce accurate work
- Be a team player and is flexible to work assist other members of the team with work to allow for the team to deliver for the business
- Able to develop relationships both internally and externally
- Making complex, technical governance concepts simple for other stakeholders to understand, this includes those located outside of the UK
- Willingness to learn and take on new tasks
- Able to support other members of the team and share knowledge
- Able to accommodate as required out of hours working
- Financial numeracy
- Strong IT skills
