The Role & Responsibilities
To proactively support the business by providing high quality Company Secretarial support and advice to the various business areas and functions.
- Assist the Secretariat in the provision of a comprehensive company secretarial and governance service, advising senior stakeholders, directors, committee members and functional leads on a wide range of company law, regulatory and governance issues.
- Monitor changes in relevant legislation and the regulatory environment and help ensure that the Group remains compliant with applicable laws/regulations.
- Assist in reviewing, negotiating, and approving for execution documentation such as powers of attorney and letters of representation.
- Maintain and update project insider and authorised signatory lists as required.
- Act as Company Secretary to one or more of the Board’s Committees, taking responsibility for the production, quality control, collation and circulation of Board and Committee papers, for attending and minutes Committee meetings, allocating actions and working with executives to discharge those actions.
- Draft or procure accurate minutes of Board and executive-level Committees, noting that the minutes are regularly scrutinised by the Bank’s regulators. Provide succinct summaries as speaking notes for Committee Chairs reporting to the Board.
- Assisting in initiatives around enhancing the quality of the Board/Committee materials and educating the producers of materials in how to write and deliver quality reports.
- Assist with ad hoc M&A and other transactions and special projects from time to time.
- Ability to write concise and accurate minutes.
- Miscellaneous company secretarial tasks as required from time to time.
The Person
- Qualified Company Secretary (The Governance Institute).
- Post qualified experience preferably from the financial services sector.
- Independent, self-starter with positive attitude: “Can do” approach.
- Meticulous accuracy and high attention to detail in every aspect of work; a sense of personal responsibility and pride in one’s work.
- High level of confidentiality with the ability to develop and maintain successful relationships with individuals at all levels.
- Confidence in dealing with senior management.
