- Ensure the maintenance of corporate books and records for Canadian and foreign private and public entities, in collaboration, when required, with mandated external professionals, including annual follow-ups, banking affairs, documentation of movements of funds;
- Gather information requested on group entities for due diligence purposes in connection with transactions, banking matters, etc.
- Ensure the updating of a corporate data management system, various lists and organization charts of group companies;
- Coordinate meetings of the Boards of Directors and Shareholders' Meetings of certain entities, and prepare and review relevant documents in collaboration with paralegals and colleagues in our Montreal and foreign offices (where applicable), mandated professionals and the various corporate departments concerned (Finance, Treasury, Tax, etc.);
- Carry out the tasks required to complete transactions (acquisition, disposal, capitalization; dividends, loan agreements; incorporations and dissolutions; corporate reorganizations; mergers, etc.) in collaboration with the internal and external professionals concerned;
- Monitor files concerning real estate funds located in various jurisdictions
- Act as a resource person for consultation of corporate and legal documentation;
- Participate in the Secretariat's special corporate projects and in the development of work processes aimed at improving services to the company.
- DEC in paralegal techniques;
- 5 to 7 years of specific experience in corporate law as a paralegal;
- Experience in foreign corporate law an asset;
- Proficiency in MS Office and Outlook;
- Knowledge of corporate management systems such as Enact, Minute Box, etc;
- Excellent French and English grammar. Oral and/or written interaction with external partners based outside Quebec (service providers, law firms, peers, bankers, brokerage firms, credit analysis firms, credit agencies, etc.);
- Ability and interest in analyzing and reviewing legal documents;
- Interest in new technological tools and special projects, an asset;
- Strong communication and organizational skills, autonomy, thoroughness and attention to detail.
