Job description

Manager, Strategy and Transactions – Corporate Finance M&A - London

Are you good at seeing the big picture? Then join EY to gain experiences that will last a lifetime.

As a result of an increasing pipeline including a number of transactions within the North, we are looking to establish a Strategy and Transactions team in London, starting with the creation of an M&A team. The team will be initially focused on executing transactions across the UK as an extension of the London based team in addition to being instrumental in establishing a Corporate Finance presence in the North.

EY has a strong presence in London with over 700 people located in our St. Peter’s Square office. In 2003 the Financial Services division was started in London and has since grown to over 250 people across Assurance, Tax and Consulting, with ambitions to get to over 400 within the coming 3 years.

We now see a great opportunity to build on our Financial Services success in London through developing out our Strategy and Transactions capability. Over the next 3 years we have ambitions to further grow this into a full transactions offering with up to 20 people across corporate finance, financial diligence, modelling, strategy - all supporting and serving the North with specialist Financial Services transaction advice.

The Opportunity

Our Financial Services Corporate Finance M&A team is currently based across London and Bristol and comprises almost 40 individuals advising a range of clients including mid-cap financial institutions, banks, private equity houses and entrepreneurial businesses on strategic/funding option reviews, acquisitions, disposals, raising equity and debt refinancing (including non-performing loans, bank resolution, corporate insolvencies, etc.).

What you will do

The role will focus on M&A/equity transactions. Working with a Director or Senior Manager, you will be responsible for creating material relating to the execution of a transaction, including overseeing any Executives or Analysts, as appropriate, on the deal. You will have the opportunity to:

  • Absorb new technical information fast, and quickly develop a deep understanding of the strategic rationale for transactions across different sectors
  • Analyse key value drivers at a market and business level, and co-ordinate the supporting research
  • Model the financial implications of transactions and financing events
  • Produce analysis to support the core transaction / capital raising negotiation process
  • Prepare client reports and transaction materials for fund-raising, acquisitions and disposals
  • Prepare information memoranda for our clients business, and the production of target profiles on acquisitions
  • Help set project budgets and ensure the firm’s risk procedures are enforced and documented
  • Support the co-ordination of project workstreams and update the overall transaction timetable
  • Ensure quality on all client deliverables, technical accuracy and best-in-class insights
  • Support new business development, including the production of high quality collateral, developing pitch documents and attending meetings with clients and prospects
  • Play an important role in the growth and development of the whole team, providing leadership to Executive and Analysts some of which may be based in the London office

Skills And Attributes For Success

As a Manager in Corporate Finance M&A you will ideally have good strong transaction experience within an investment banking, corporate finance, corporate development environment or transaction diligence role. We also look for the following knowledge and experience:

  • Track-record of working on M&A transactions, ideally in the financial services sector.
  • Demonstrate confidence in client situations, gaining client acceptance and demonstrating value through advice and sector insight
  • Committed to working to tight deadlines, practiced at thinking clearly under pressure
  • Demonstrate strong numerical and financial skills and an understanding of financial statements
  • Experience with financial models and valuing businesses using various methodologies, mainly DCF, precedent transactions and traded comparable companies
  • Creative in the sourcing and use of information and able to make sensible assumptions where appropriate
  • Strong verbal communication and written presentation skills
  • High standard of spoken and written English is a prerequisite
  • Counselling/coaching experience is desirable
