Job Purpose:
The Commercial Legal Assistant is responsible for day-to-day commercial transaction matters including but not limited to assisting with document preparation and transactions for commercial financing, leasing and other commercial transactions. This position is a point of contact for clients and lawyers on file progress.
Key Accountabilities:
- Assist lawyers in the preparation of necessary documents for commercial real estate property transactions including commercial lease agreements in the Land Title Office, the Indian Registry System and Westbank Lands Registry.
- Preparation, registration, and completion of commercial lending transactions for lenders, completing all due diligence searches and all other documentation including ancillary documents for commercial lending transactions.
- Preparation of documentation for commercial transactions, share purchase agreements and asset purchase agreements, including due diligence searches and preparation of ancillary documents.
- Preparing of documentation for incorporation of companies and registration of limited partnerships.
- Process change of directors, share issuances, transfers, repurchases and redemptions, drafting resolutions and performing online filings via ALF and BC Online.
- Work closely with other legal assistants, paralegals, lawyers and clients on file progress.
- Prepare, send, and follow up on client accounts and tasks.
- Filing and bring forward management.
- Process client accounts.
- Invoice, request, receipt funds, arrange wire transfers and direct deposits using Aderant software.
- Other duties as assigned.
Knowledge, Skills & Experience:
- Legal Assistant or Paralegal diploma is preferred.
- Strong knowledge of MS Word, and Outlook.
- Knowledge of ALF and BC Online.
- Knowledge of Aderant accounting software, ILRS and Citrix is an asset.
- Strong attention to detail and ability to work with confidential information.
- Ability to work in a team-oriented setting.
- Ability to prioritize tasks while working in a fast-paced environment.
- Experience with a document management system is an asset.
Working Environment:
- Work is predominantly in an office environment.
