Job description
My clients are seeking an ambitious person that has a minimum of 1 year's experience within Escrow and Settlements. Ideally someone from a banking or legal background.
Escrow & Settlement (E&S) is a professional organisation, which offers escrow & settlement services to clients including large private equity funds, publicly listed companies, private companies, pension funds and hedge funds. These clients are often referred to us through their intermediaries, predominately international law firms in Europe and the US.
E&S is responsible for servicing the target clients of international and commercial clients and international law & accountancy firms in Europe and Asia with tailor made escrow & settlement solutions in following markets:
Ø the M&A market (market for company takeovers);
Ø Energy, Construction, Real Estate and Logistics;
Ø Banking Insurance and Finance Shipping & Transportation.
These markets are presently being serviced from two locations: Amsterdam and London.
E&S has a commercial sales department staffed by Business Development Managers (BDM). The BDM’s role is to acquire new business and focus on building and maintaining relations with a view of gaining new escrow mandates in NL, UK and the wider European market space. The other key responsibility of the BDM is to prepare and share commercial and legal propositions to lawyers and relationship managers/coverage bankers within the bank.
The job holder operates at the crossroads of commerce and client acceptance including the management of the complete internal process of client intake, including related administrative tasks and liaising with lawyers with regard to client acceptance requirements.
With respect to client acceptance, the job holder manages the Know Your Client (KYC) process by: (i) collecting all relevant information from lawyers and relevant intermediary or prospect; (ii) continuously monitors the KYC process in close collaboration and consultation with relevant BDM, and by keeping the lawyer and intermediary or prospect informed on the process and outstanding requirements; and (iii) conducting the risk assessments on the clients.
The job holder will be responsible for the logging of all relevant deal information as well as the diligent logging in our client database of information on intermediaries, lawyers and deal information. The working language is English however the corporate structures the job holder will deal with will involve multiple foreign jurisdictions.
QUANTITIVE INFORMATION
The job holder will be responsible for a swift and efficient intake, review, onboarding and handling of documents provided for 50 contracts including 200-300 international clients annually. The projects involve obtaining assets under management with a high value.
JOB PURPOSE
The job holder will be responsible for the effective and efficient on-boarding of new prospects and periodic reviews in accordance with the Business Acceptance Procedure (BAP). This includes preparing and presenting risk assessments for escrow contracts and the management and maintenance of all relevant project information and documents for audit purposes.
RESPONSIBILITIES
Client Onboarding
The job holder is responsible for guiding stakeholders (including lawyers and notaries) in a transaction through our KYC requirements and for ensuring a proper execution of our KYC process in collaboration with the BDM, Country Director and Contract manager.
Furthermore, the job holder will closely monitor the progress of work at hand with a view to maintaining the required (and often tight) deadlines.
The job holder will keep the BDM informed throughout the process to ensure a seamless and efficient communication between the BDM and the intermediary and/or prospect on the status of our KYC approval process. The job holder is required to promptly and actively act on any issues that may occur during the client acceptance process or in relation to compliance/AML (with a view of minimising our expected turnaround times). As such, the job holder has an important role in delivering on our goal to be dedicated to deliver and on time.
The job holder is also responsible for submitting all relevant documentation to our account banks regarding our escrow account and leading all communication with respect to this approval process.
Risk Assessments
The job holder is required to risk assess all mandates in line with the BAP and other applicable ITG policies.
This requires identifying and mitigating risks appliable to a transaction and our clients. This may be through careful screening and analysing client’s activities and organisational structures.
Additionally, the job holder is also responsible for liaising with the Business Compliance Director on the relevant developments and changes with the ITG policies and subsequently communicating any changes to the BDM team and updating client information packs.
Additionally, the job holder is expected to manage changes in documentation in line with agreed policies to protect the business from acting on the basis of unauthorised documentation.
Quality of the Organisation
The job holder is expected to keep management informed about the possibilities to continuously improve and enhance efficiency with respect to the intake process in accordance with current legislation and requirements driven by audit, compliance and business continuity with a view to strengthening the efficiencies and effectiveness of the E&S organisation. The job holder is expected to contribute to a seamless operating model on the basis of our work processes.
SKILLS / EXPERIENCE
General
As a minimum holds an undergraduate degree from a reputable university and has studied a subject that has helped them build on their analytical and writing skills.
Specific
· Sound knowledge and understanding of corporate structures, legal entities and authorisations, corporate law and security rights, including reading skills with respect to documents from a wide variety of jurisdictions.
· Knowledge of compliance rules and regulations.
· Knowledge of products and services relevant to the job holder, cooperation with other specialised departments (such as Compliance), systems to be used, rules and regulation as well as work process and procedures within E&S.
· Knowledge of theories and practical solutions in the field of (new) media developments, internal media developments and internal communication.
· Attention to detail with excellent writing skills.
