In a context of strong growth, Boralex is looking for a
In-house legal cousel common law contracts – M&A
Working closely with the French legal team, the legal counsel will be involved in the successful implementation of Boralex in the United Kingdom.
Þ Analysis of risks and negotiate:
o Contracts necessary for mergers and acquisitions or for asset or shares sales of project companies or holdings (SPA, SHA, etc.),
o Financing documentation in the context of project finance,
o Projects contracts (turbine or module supply, BoP, EPC),
o Contracts for sale of electricity (public tenders for CfD or power purchase agreements),
Þ Analysis and follow-up (together with local advisors) of regulatory issues linked to renewables projects (environmental, energy, planning law), grid and public assets;
Þ Management of real estate commitments (together with local advisors) in the context of greenfield projects;
Þ Management of corporate issues (together with local advisors) – around 20 subsidiaries;
Þ To optimise work with in house business team, have a proactive role in the legal team to:
o Provide in-house internship, or any other tools to insure a minimum of legal and risk management knowledge;
o Draft contracts templates and making them available online through the “legal library”;
o Help to define the legal guidelines of the group (procedures, sum-up of risk analysis of the commitments) and challenge such guidelines over the time;
Þ Manage and rationalise recourse to external legal counsels;
Þ Insure legal follow-up on regulatory and business law aspects;
YOUR SKILLS
You have a Master garde in contract and common law, and at least five (5) years of experience in M&A in an international context and in the energy sector requested.
Your previous experience in similar type of industrial sectors, will be considered as a merit.
You have a proven track record of successfully advising on a wide range of complex corporate legal issues and on delivering of pragmatic and business-oriented solutions to legal and compliance matters and problems.
In addition to first class technical legal skills and being attentive to details, you have the will and ability to identify relevant facts and risks as well the bigger picture.
