CMC Partnership Global, now part of Prosci Europe+, are seeking an In-house legal/commercial contracts advisor to join the UK based Global contracts team. This is a key role within the organisation, responsible for providing contract and commercial advice to our Change Management Training, Advisory and Senior Leadership Teams on proposals, evaluation, preparation and negotiation of customer contracts, supplier agreements, and intellectual property matters.
The Role
· Providing advice and guidance to the CMC Global/Prosci Europe+ teams on all commercial and contractual matters. Ensuring all teams understand our contractual obligations and commercial exposure.
· Managing the company contract processes – including oversight of contract tracking and proposal documentation, responding to queries, drafting and issuing a variety of contractual documentation, including supplier agreements, schedules, Non-Disclosure Agreements, etc.
· Conducting due diligence reviews of new customer terms and conditions, identifying risks and issues, advising accordingly and where appropriate, drafting and negotiating mutually acceptable terms.
· Leading contractual negotiations; ensuring proposals are in line with our agreed commercial guidelines and contain all necessary standard disclaimers to limit our financial exposure and protect CMC Global/Prosci Europe+ intellectual property.
· Conducting regular reviews of contractual obligations, ensuring terms and conditions are met.
· Provide mentoring and line-management for Contracts & Commercial Graduate.
· The role will be primarily remote with occasional trips to our offices. To meet business needs, a degree of flexibility around working hours will be required from time to time.
· This is a maternity cover fixed-term contract role in the first instance with the potential to convert to a permanent role as the remit of the team expands.
The Person
· Qualified or non-qualified legal contract & commercial specialist with previous in-house experience.
· Well-organised and able to manage conflicting priorities and tight deadlines effectively.
· A team-player with strong written and verbal communication skills and a collaborative working style.
· Experience of providing commercial and contract advice on all contractual matters, able to prioritise multiple colleague and customer requests.
· Experience of developing creative pricing strategies.
· Detail orientated, tenacious and resilient, able to work under pressure and to tight deadlines.
· Good judgement - able to balance business and commercial needs against potential risk exposure.
· Excellent influencing and negotiating skills. Friendly, calm and professional with the confidence to constructively challenge external and internal parties, when necessary, in order to protect our commercial and contractual position.
· Previous experience of drafting and negotiating commercial contracts in a service industry is essential.
· Knowledge of GDPR, Data Compliance and the legal obligations around data protection and transfers.
· Multi-national contract experience is preferred. Europe, Switzerland, South Africa and Singapore are of particular interest.
· Applicants should hold a law or similar degree and will ideally hold a relevant professional qualification, e.g. CIPPS, EU GDPR.
· Fluency in one or more European languages in addition to English is highly desirable.
