Job description

Fantastic opportunity to join an engineering PLC with a global reach as Group Company Secretary working as an integral part of a legal and company secretarial team.

Responsibilities:

In this position, you will provide a proactive and effective company secretarial service to the Board and committees and support effective and transparent corporate governance across the Group.

  • Acting as secretary to the Board and principle committees taking responsibility for administrating Board activities
  • Management of the group’s corporate governance structure and issues
  • Roll-out of procedures for Board Director induction
  • Maintain board papers, agendas, minutes and action plans
  • Statutory compliance for Group companies
  • Company Secretarial services – including Company House filings and corporate transactions
  • Board, Committee & AGM meeting support
  • Annual report and accounts
  • Stock exchange registration and compliance
  • Share scheme administration and queries

We are looking for:

  • Fully ICSA qualified
  • Extensive company secretarial experience in a listed UK PLC
  • Proven track record of developing constructive working relationships with senior Non-execs and Plc Execs as well as other stakeholders
  • Demonstrable knowledge of UK Companies Act, and other corporate legislation, corporate governance codes and best practice, and other regulatory codes and frameworks
  • Knowledge of a secretarial software package (e.g. Diligent Blueprint) and digital platform for Board papers
  • Confident interpersonal skills; able to communicate effectively across all levels of the organisation and with external professional advisors and agencies
  • Drive high standards, building relationships and working with gravitas
  • Highly skilled multitasker; can prioritise own workload effectively and work within tight timeframes
