DESCRIPTION

This position is for a senior business facing role within the EMEA Syndicate Operations team. We provide
logistical support to the EMEA Global Capital Markets (GCM) department in all their equity and fixed
income new issuance activity. GCM is one of the firm’s most critical, dynamic, and strategic business’
undertaking high value, high focus transactions. These include both Primary IPO share offerings, Primary
Debt offerings and Secondary sourced business such as large block sales and follow-ons. The team covers
all European and MENA markets on transactions that are often complex with initial listings on Exchanges
and primary settlement of securities. The successful candidate will be expected to act as a designate ‘deal
captain’ on trades providing technical and specialized operational support for the successful closing of
transactions. This entails extensive interaction with external counterparties such as legal counsel, Central
Securities Depositaries (CSD), local market agents and banking counterparts amongst. Additionally, the
individual will be responsible for extensive front to back transactional coordination with internal
Operations stakeholders and other division such as Corporate Treasury and Sales and Trading during the
lifecycle of a deal. Given the specialized and the high-profile nature of the functions covered, the role is
aimed at a Director/ AVP level candidate.
The role is on the private side of firm business as, by their nature, the transactions supported often
involve confidential/ private sensitive information and the team sits in the segregated GCM department.
Although the role involves autonomy as ‘deal captain’ the team all work closely together providing each
other support and coverage throughout the pre-launch and closing of transactions – teamwork is key to
the success of the department. The EMEA Syndicate Operations team consists of seven full-time staff in
London and four in Frankfurt responsible for Operational and accounting functions for EMEA Equity GCM
products. The role is open due to external mobility.

What will you be doing?
  • Deal Management –You will be responsible acting as a lead on GCM transactions providing subject
matter expertise around the lifecycle of GCM transactions- pre-launch of a deal through to closing. These
include IPOS, Follow Ons, Convertible Bonds and Secondary Offerings.
  • Technical Expertise – You will be required to leverage advanced knowledge of the EMEA markets and
clearing systems as well as the mechanics of settling Equity (including, Shares, Convertible Bond, and GDR
products) and Debt products.
  • Risk Management. As the role involves exposure to the Firm’s largest and most important clients,
including Governments, SPVs, Private Equity and Wealth Management and the global GCM franchise has
a best-in-class reputation, you must therefore be able to demonstrate an excellent awareness of risk, and
an ability to ensure the Firm is always protected. Timely escalation of issues is expected.
  • Client Liaison – You will be involved in direct liaison and interaction, often at senior levels, with our
internal clients such as the Investment Banking Division /GCM, Corporate Finance, Legal & Compliance as
well as our external clients including issuing companies, selling shareholders, Legal Counsel, and market
competitors.
  • Leadership and Change Management. The Global Syndicate organization is investing in significant change
projects over the next 2-3 years focused on eliminating, manual processes, risk management and
governance and creation of capacity. You will be part of the Run the Bank team help assess
implementation and run UAT testing.
  • Control & Reconciliation – You will have supervisory oversight of the control framework including
reconciliation of accounts, quality assurance and sample checking

QUALIFICATIONS

What we’re looking for:
  • Prior experience in a Trade Support/middle office or Settlement Role
  • Extensive experience and knowledge of EMEA markets – including clearing and settlement
  • Regulatory and Capital Market Knowledge
  • Strong Equity Product knowledge
  • Experience of Primary market transactions – not essential

Where will you be working?
You will be working the Morgan Stanley London HQ based in Canary Wharf and based in a private side
segregated area. The team sits directly with the GCM Business Unit in a dynamic environment.
