Tullow Oil is offering an exciting opportunity and has created a new Deputy Company Secretary role, reporting into the Company Secretary and part of the wider Governance Function. This is a full-time role is based in Chiswick, London with hybrid working arrangements.
Job Purpose
This role will be primarily accountable for assisting the Group Company Secretary with the orderly operation and administration of a global Company Secretariat Function.
Responsible for coordinating the operations of the PLC Board of Directors and its annual schedule and contribute to the management of key projects such as capital markets transactions, annual reports, and AGMs.
The Deputy Company Secretary will also assist in the management of share schemes, advise the Group Company Secretary on best-practice corporate governance solutions as a listed company and across the subsidiary group, and deputise for the Group Company Secretary in their absence.
Key to the success of this role is knowing ‘what good looks like’ and being able to communicate a coherent value case for continuous improvement.
The following are the key roles and responsibilities of the successful candidate
- Responsible for overseeing the PLC Board and certain of its committees:
- Assisting with preparation and uploading of board papers
- Assisting with board evaluation, succession, and inductions
- Ensuring awareness of and training on corporate governance policies and procedures
- Ownership of insider dealing and market abuse regulatory compliance, including the record keeping of the Disclosure Committee and insider lists
- Ensuring listed company and subsidiary regulatory filings are completed timely and correctly
- Managing key external advisor relationships
- Drafting the governance report section of the annual report, including committee reports
- Assisting with managing the Company’s share plans, with the assistance of the Assistant Company Secretary and Reward Function
- Overseeing the planning of the AGM and drafting associated documents
- Liaising with shareholders and investors
- Assisting the Company Secretary with ensuring that work produced by others in the team is timely and of quality for final submission
- Act as a mentor and contribute to the development of the Assistant Company Secretary and other team members

Knowledge/Qualifications
- Legal or ICSA qualification in UK or commonwealth
- In-depth knowledge of relevant legislation (Companies Act, Corporate Governance Code, Market Abuse Regulation)
- Knowledge of share plan structures and rules
Technical/Professional Experience
- Prior experience in a Deputy Company Secretary role within a UK plc or significant experience as a Senior Assistant Company Secretary (in-depth knowledge of the UK regulatory and statutory filing requirements is essential)
- Experience of attending Board and or Committee meetings and taking minutes
- Experience of group subsidiary management and governance
- Experience of UK listed reward structures and share schemes
- Experience in drafting and implementing new policies and corporate governance programs in a fast-moving entrepreneurial environment
- Strong attention to detail and ability to work remotely and/or with minimal supervision
- Oil and gas experience not essential
