Our client is a top-tier Corporate specialist law firm based in London.
We are looking for a Paralegal a minimum of 6 months of experience, and ideally some Corporate and/or strong commercial drafting experience.
The key responsibilities of the Paralegal will involve, but not be limited to, the following:
- Organise and update precedent and transaction bibles/sets and create electronic bible
- Data room management
- Performing company searches
- Company formation
- Companies House filings
- Reviewing and updating company books
- Helping on completions, including client's secondment
- Assisting Corporate Finance lawyers with the verification process
- Assist in preparation of documents: create binders, amend documents, print, copy and check, scan and distribute files.
- Proofread documents for sense, consistency, cross reference, definitions, formatting, and typographical errors.
- Perform legal and non-legal of factual research using a variety of legal research tools for case law, legislation, commentary, company and business information and practical guidance.
- Assist with due diligence: review and analyse documents and assist with minor drafting of due diligence reports and contract summaries.
- Act as the interface, where appropriate, between key internal stakeholders including fee earners in other practice areas, client contacts and other external parties such as opposing counsel and third-party service providers
Provide support to partners, associates, senior associates, and senior counsels.
- Archive and dispose of documents in line with department protocols.
- General administration tasks and assisting fee earners with other ad-hoc duties.
- Prepare securities filings prior to fund closings for submission to the applicable regulatory authority (ex-Form IDs, Form Ds, LP5s and LP6s)
- Generate and maintains fund status chart listing investor information.
- Maintain executed electronic copies of all governing fund agreements, resolutions, opinions, support certificates, fund tax forms, securities filings, etc.

Education / Qualifications
- Law Degree / GDL. (2.1 or Commendation minimum)
- LPC.
