To provide corporate paralegal services to the Visa Europe Corporate Legal team, primarily supporting the Corporate Governance and Employment leads as required. You will join a motivated and high performing team with a mandate for continuous improvement of processes and tools, and have broad exposure to a wide range of corporate issues, across a large number of geographies.
Corporate Governance:
Work with the Entity Manager and Senior Lawyer to provide proactive, commercially focused Entity Management services to Visa’s entities in Europe, Middle East and Africa, including organising and dissolving entities and ongoing compliance with local legal requirements
Includes drafting and legal review of materials related to entities in the region including formation documents, board and shareholder meeting documentation, and other compliance documentation.
Assists with Board and Personnel changes, business license renewals and registrations, and powers of attorney, taking into account business continuity, personnel and tax considerations.
Coordinates with members of the regional and Global Finance teams to ensure entity compliance with local financial statement requirements, including the creation and maintenance of annual compliance calendars.
Assists to maintains legal entity records, including minute books, for entities in the region.
Assists with the maintenance of Visa’s entity database (including information and documentation).
Coordination with the Global Legal Entity Team, including assistance on global ad hoc projects or improvements.
Provides regular training and updates to other stakeholders in corporate governance and Board matters.
Providing governance support on the Board management of Visa’s regulated European subsidiaries, including facilitating the holding of Board meetings (agenda planning, document coordination and review, meeting logistics, minute writing etc.)
Assisting to respond to queries from the business in a proactive, helpful, timely and professional manner, including the provision of Powers of Attorney and various corporate governance requests.
Employment Law:
Provide general administrative support in respect of employment case matters
Conduct legal research on new and emerging employment law changes across the Europe region as requested
Coordinate with various parts of the People Team (Employee Relations, HR Ops, Total Rewards etc.) to gather necessary information in respect of potential legal claims and settlements
Work with Employment Counsel on updating internal policies as part of the transition to the hybrid work model across the region
Provide support and assistance with the creation and delivery of in-house training sessions for the People Team
Work with Employment Counsel on pro bono advice cases
Projects:
Provide assistance on ad hoc corporate projects that arise from time to time
Provide assistance on global labour law projects as and when required
Provide assistance on budgeting, invoicing and management of external legal professionals
Role Requirements:
Excellent planning and organisational skills and high level of written and verbal communication skills
Minimum 3 years’ experience as a corporate paralegal, with specific entity management experience desired
Some travel may be required
Ability to communicate confidently and build relationships with internal and external stakeholders at all levels, including top level executives and directors
Flexible and able to work both without supervision and in a team environment and meet tight deadlines in pressurised environment
Advanced IT literacy, and high standards of delivery and advice
