About the job

As a Company Secretarial Assistant at RHI Magnesita, you will play a crucial role in supporting our Company Secretary and the Board of Directors in all aspects of administration, helping to ensure that our listed corporate governance activities run smoothly and efficiently. You will have the exciting opportunity to liaise with high-profile stakeholders, including the Board of Directors and Executive management, providing support to these stakeholders, and contributing to the effective functioning of our organization. One of your key responsibilities will be the administration of Board and Committee meetings, including meticulously drafting agendas, coordinating meeting logistics, managing the corporate calendar, and ensuring seamless document management. You will be crucial in maintaining our compliance with regulatory regimes, especially with respect to closed periods and insider list management. With your attention to detail and excellent communication skills, you will play a key role in supporting the Board and Committee processes, with opportunities to grow into a well-rounded governance professional.


In addition, your tasks will include

  • Running year-end processes to confirm, and provide analysis of, certain Board-related data for input into the Annual Report.
  • Proofreading and editing corporate governance documents and ensuring distribution of updates to the organisation through the intranet/ website/ databases as required.
  • Assistance in drafting and compiling corporate information for Company Secretarial papers for Boards & Committees.
  • Team administration, such as folder structure organisation, and uploads into the relevant databases.
  • Ensuring diligent and complete filings with the Dutch Trade Registry and other authorities.

About You

You are diligent and self-motivated, with strong attention to detail. You are a strong communicator with a collaborative attitude, who is able to engage intelligently with senior members of staff. You see change as something positive, can adapt quickly, and are able to plan and prioritise, managing your own time to meet expectations and occasionally tight deadlines in a fast-moving environment. You will need to be able to operate with the highest standards of confidentiality. You are solutions focused, proactively seeking to improve the status quo, pragmatic, and work well in cross-functional teams. You are not afraid to take responsibility and make decisions. Interest and desire to work in Corporate Governance/Company Secretarial is essential.


What we expect from you in terms of:


Education & Skills

  • A bachelor's degree or higher, ideally in a relevant field such as Law, Corporate Administration, or Business Studies.
  • Comprehensive knowledge of MS Office programmes.
  • Proficiency in database management would be ideal.

Languages

  • English – Fluent
  • Any other language, particularly German or Portuguese, would be considered an asset.

Work Experience

  • Experience in a Corporate Secretarial function would be desirable.
  • Office administration and/or corporate governance experience, working in a corporate team at internship level or above.
