The Opportunity
Please note this is a 12month FTC position
As a Strategic Company Secretary & Equity Administration Manager at Onfido you will:
- Equity administration: Working closely with the Legal, Tax and People teams to own the day to day management of our global equity schemes, equity management platform and equity reporting, including equity modelling for internal and external requirements. Managing equity grants, options exercises and process efficiencies across systems such as CapDesk and WorkDay
- Company Secretarial: Managing company secretary requirements for our global entities, including filings, statutory registers and management of registered addresses, with support from the Senior Corporate Legal Counsel and Finance team
- Cap table management: Managing updates to our cap table. Providing cap table reporting to our investors
- Board and corporate: Working closely with the Senior Corporate Legal Counsel and General Counsel, supporting corporate and investor consents and resolutions for our group board, along with board requirements across our global entities
- Investor reporting: Provide the Finance team with support on investor relations data requests, advising on the information rights for our investors and ensuring data is provided within the required time frames.
We’re looking for a Strategic Company Secretary & Equity Administration Manage who can display the below skills & experience throughout our interview process:
- Relevant experience in a company secretarial / legal role
- Significant experience managing/supporting global share option schemes
- Experience managing an online equity management platform (one of Carta, Capdesk, Ledgy, Shareworks etc)
- Understanding of basic modelling to allow for the build of cap tables, equity reporting and investor reporting
- Excellent communication skills - can summarise complex issues in a simple way to non-legal audiences
- Operational excellence - good with systems, processes and technology
- Project management mindset - able to manage upwards and across to see a project or task through to completion
- Self-starter - takes the initiative in spotting process efficiency opportunities and finding ways to solve challenges
- Comfortable in a fast paced environment
- Desirable (but non essential) to have project management or administration experience of equity/debt fund raising rounds and/or M&A.
